Protel 98/99/SE (R) files can be converted to TARGET 3001! by ASCII. Follow the steps:

Convert PROTEL Schematic Files (.sch) to TARGET 3001!
Convert PROTEL Board Files (.PCB) to TARGET 3001!
Merge PROTEL Schematic and Board file
Convert PROTEL Schematic Libraries (.sch) to ASCII-Format (.ASC)
Convert PROTEL PCB Libraries (.LIB) to ASCII-Format (.ASC)
